NOTICE OF SALE UNDER POWER

Under and by virtue of the power of sale contained in that certain Deed to Secure Debt and Security Agreement, dated January 30, 2006 (the “Original Security Deed”), from Currahee Partners, LLC, a Georgia limited liability company (“Currahee Partners”) and Currahee Partners II, LLC, a Georgia limited liability company (“Currahee Partners II”; Currahee Partners and Currahee Partners II collectively hereinafter referred to as “Grantor”) to National City Bank, a national banking association (“Original Lender”), recorded in Book 744, Page 247 with the Clerk of Superior Court, Stephens County, Georgia (the “Records”), as amended and modified by that certain Spreader and Modification to Deed to Secure Debt and Security Agreement, dated as of June 15, 2006 (the “Spreader”) from Grantor to Original Lender, recorded in Book 767, Page 73 in the Records, as assigned by Original Lender to Capstone Realty, Inc., an Ohio corporation (“Capstone”) pursuant to that certain Assignment of Deed to Secure Debt and Security Agreement and Other Loan Documents, dated as of July 30, 2009 and recorded on July 31, 2009 in Book 903, Page 440 in the Records, and as further assigned by Capstone to REAL PROPERTY HOLDING - TOCCOA, GA, LLC, a Delaware limited liability company (“Grantee”) pursuant to that certain Assignment of Deed to Secure Debt and Security Agreement and Other Loan Documents, dated as of September 2, 2009 and recorded on September 3, 2009 in Book 906, Page 337 in the Records (the Original Security Deed as amended and modified by the Spreader and as assigned, the “Security Deed”); said Security Deed having been given to secure the indebtedness evidenced by a Revolving Promissory Note dated as of January 30, 2006, made by Grantor to the order of Original Lender in the principal face amount of Twenty-Five Million and No/100 Dollars ($25,000,000.00), as amended and modified by that certain Allonge to Revolving Promissory Note dated effective as of May 1, 2008, as endorsed by Original Lender to Capstone by Allonge, dated July 30, 2009, and as further endorsed by Capstone to Grantee by Allonge, dated September 2, 2009 (as the same has been amended and modified and endorsed, the “Note”), there will be sold by Grantee, at public outcry, to the highest bidder for cash, before the door of the courthouse of Stephens County, Georgia, within the legal hours of sale on the first Tuesday in April, 2010, being April 6, 2010, the property conveyed by the Security Deed and being all of the following described land and interests in land, estates, easements, rights, improvements, property, fixtures, equipment, furniture, furnishings, appliances and appurtenances (hereinafter being referred to collectively as the “Property”):

(e) TOGETHER WITH all of Grantor’s right, title and interest as developer and founder as described in that Community Charter for Currahee Club dated May 14, 2003 recorded in Deed Book 603, Pages 404-526, Stephens County Records as amended by Amendment recorded in Deed Book 674, Pages 354-356 and further modified by Community Charter recorded in Deed Book 674, Pages 357-480, Stephens County Records.

The indebtedness evidenced by the Note and secured by the Security Deed has matured under the Note. Consequently, such indebtedness has been and is hereby declared due and payable in full. Grantor failed to pay such indebtedness upon its maturity as required under the Note and the Security Deed, and due to the occurrence and continuation of such payment failure, certain defaults and events of default under the Note and Security Deed have occurred and continue to exist. Said indebtedness remaining unpaid, and said defaults and Events of Default continuing to exist, this sale will be made for the purpose of applying the proceeds of such sale in the manner required by the Security Deed and by Georgia law.

REQUEST FOR QUALIFICATION AND COST PROPOSAL FOR MODIFICATION TO CLOSURE POST CLOSURE CARE PLAN

The Stephens County Board of Commissioners is soliciting statement of qualifications and cost proposal from professional engineers capable to serve as design engineers for a modification to the county’s Construction Demolition Landfill Closure-Post Closure Care Plan. The proposals submitted should be clearly marked on envelope or package ‘Stephens County Department of Solid Waste and submitted to Stephens County Clerk, 37 West Tugalo Street, Toccoa, Georgia 30577. The engineering firm shall submit its statement of qualification and cost proposal to Stephens County no later than Wednesday, March 24, 2010 at 5:00 PM, and submitted proposals will be opened in public Friday, March 26th at 10 a.m. Proposals shall be good for 90 days from date of opening. Only written proposals shall be accepted. The county reserves the right to reject any or all proposals and not to award the contract if deeded appropriate under the circumstances.

The engineering firm shall provide a certificate of insurance with its proposal proving workers compensation coverage, general liability coverage, general liability coverage (minimum of $1,000,000) and professional liability insurance coverage. The county represents that the funds are available for the engineering phase of this project.

After review and identification of an acceptable proposal, the proposal will be placed on the agenda of the next regular commission meeting for consideration. The consultant may anticipate that a signed agreement for consulting services will be completed within two weeks of the commission’s approval. Stephens County reserves the right to reject or negotiate any and all bids, or any part thereof, and to waive any technicalities. Stephens County further reserves the right to award the contract to the lowest reliable, responsible bidder as determined to be in the best interest of the County. The Public Works Director or his designee will open bids and all bids will be opened in public and read aloud at the time and place established for bid openings. Unless otherwise stated, all bids submitted and opened shall be valid and not withdrawn for ninety (90) days from date of opening. A bidder may withdraw before the date and time to receive bids. All bids must be received and in-hand at the time and place specified. No fax quotes will be accepted. The bidder assumes responsibility for having the bid received at the designated time and place. Bids received after the stated time (in paragraph 1) shall not be considered. No responsibility shall be attached to the County for premature opening of a bid not properly addressed or identified and/or not delivered properly. All goods and material shall be F.O.B. Stephens County.

Selected Engineer must agree that all work will be performed without unreasonable delay and without suspension of work unless authorized in writing by the

Stephens County Public Works Director, and will agree that the work shall begin within ten (10) business days after the notification to begin by the Stephens County Public Works Director, or his designee, and shall be completed within 2 (two) Months. If there are unreasonable delays or unauthorized suspension o9f work, Stephens County reserves the right to charge the design firm not a penalty, but liquidated damages, the cost to the County as may be determined by the Stephens County Board of Commissioners. The requirements of the O.C.G.A. Code Sections 50-24-1 through 50-24-6 relating to the Drug Free Workplace Act will apply to this project and must be complied with in all respects.

REQUEST FOR QUALIFICATION AND COST PROPOSAL FOR MODIFICATION TO NEW HOPE FIRE STATION TO INCLUDE LABOR AND MATERIALS

The Stephens County Board of Commissioners is soliciting statement of qualifications and cost proposal from Georgia licensed General Contractors Capable of providing construction services (labor and materials) for the bay expansion and building modifications and renovations located at New Hope fire station at 7199 Mize Road, Stephens County Georgia. The proposals submitted should be clearly marked on envelope or package Stephens County, New Hope Fire House Renovation and submitted to Stephens County Clerk, 37 West Tugalo Street, Toccoa, Georgia 30577. The construction firm shall submit its statement of qualification and cost proposal to Stephens County no later than Thursday, March 25th, 2010 at 3:00 p.m. and submitted proposals will be opened in public April 1st at 3:00 p.m. Proposals shall be good for 90 days from date of opening. Only written proposals shall be accepted. The county reserves the right to reject any or all proposals and not to award the contract if deeded appropriate under the circumstances.

The contracting firm shall provide a copy of their state license, certificate of insurance, workers compensation coverage, general liability coverage (minimum of $1,000,000) and professional liability insurance coverage. The county represents that the funds are available for construction phase of this project.

There will be a pre-bid meeting and building walk through to examine specific scope of work items on March 11th @ 10:00 a.m.

After review and identification of an acceptable proposal, the proposal will be placed on the agenda of the next regular commission meeting for consideration. The contractor may anticipate that a signed agreement for services will be completed within two weeks of the commission’s approval. Stephens County reserves the right to reject or negotiate any and all bids, or any part thereof, and to waive any technicalities. Stephens County further reserves the right to award the contract to the lowest reliable, responsible bidder as determined to be in the best interest of the County. The County Administrator or his designee will open bids and all bids will be opened in public and read aloud at the time and place established for bid openings. Unless otherwise stated, all bids submitted and opened shall be valid and not withdrawn for ninety (90) days from date of opening. A bidder may withdraw before the date and time to receive bids. All bids must be received and in-hand at the time and place specified. No fax quotes will be accepted. The bidder assumes responsibility for having the bid received at the designated time and place. Bids received after the stated time (in paragraph 1) shall not be considered. No responsibility shall be attached to the County for premature opening of a bid not properly addressed or identified and/or not delivered properly6. All goods and material shall be F.O.B. Stephens County.

Selected Contractor must agree that all work will be performed withoyut unreasonable delay and without suspension of work unless authorized in writing by the Stephens County Administrator, and will agree that the work shall begin within ten (10) business days after the notification to begin by the Stephens County Administrator, or his designee, and shall be completed within 3 (three) months of notice to proceed. If there are unreasonable delays or unauthorized suspension of work, Stephens County reserves the right to charge the contractor not a penalty, but liquidated damages, the cost to the County as may be determined by the Stephens County Board of Commissioners. The requirements of the O.C.G.A. Code Sections 50-24-1 through 50-24-6 relating to the Drug Free Workplace Act will apply to this project and must be complied with in all respects.

REQUEST FOR QUALIFICATION AND COST PROPOSAL FOR MODIFICATION TO CLOSURE POST CLOSURE CARE PLAN

The Stephens County Board of Commissioners is soliciting statement of qualifications and cost proposal from professional engineers capable to serve as design engineers for a modification to the county’s Construction Demolition Landfill Closure-Post Closure Care Plan. The proposals submitted should be clearly marked on envelope or package ‘Stephens County Department of Solid Waste and submitted to Stephens County Clerk, 37 West Tugalo Street, Toccoa, Georgia 30577. The engineering firm shall submit its statement of qualification and cost proposal to Stephens County no later than Wednesday, March 24, 2010 at 5:00 PM, and submitted proposals will be opened in public Friday, March 26th at 10 a.m. Proposals shall be good for 90 days from date of opening. Only written proposals shall be accepted. The county reserves the right to reject any or all proposals and not to award the contract if deeded appropriate under the circumstances.

The engineering firm shall provide a certificate of insurance with its proposal proving workers compensation coverage, general liability coverage, general liability coverage (minimum of $1,000,000) and professional liability insurance coverage. The county represents that the funds are available for the engineering phase of this project.

After review and identification of an acceptable proposal, the proposal will be placed on the agenda of the next regular commission meeting for consideration. The consultant may anticipate that a signed agreement for consulting services will be completed within two weeks of the commission’s approval. Stephens County reserves the right to reject or negotiate any and all bids, or any part thereof, and to waive any technicalities. Stephens County further reserves the right to award the contract to the lowest reliable, responsible bidder as determined to be in the best interest of the County. The Public Works Director or his designee will open bids and all bids will be opened in public and read aloud at the time and place established for bid openings. Unless otherwise stated, all bids submitted and opened shall be valid and not withdrawn for ninety (90) days from date of opening. A bidder may withdraw before the date and time to receive bids. All bids must be received and in-hand at the time and place specified. No fax quotes will be accepted. The bidder assumes responsibility for having the bid received at the designated time and place. Bids received after the stated time (in paragraph 1) shall not be considered. No responsibility shall be attached to the County for premature opening of a bid not properly addressed or identified and/or not delivered properly. All goods and material shall be F.O.B. Stephens County.

Selected Engineer must agree that all work will be performed without unreasonable delay and without suspension of work unless authorized in writing by the

Stephens County Public Works Director, and will agree that the work shall begin within ten (10) business days after the notification to begin by the Stephens County Public Works Director, or his designee, and shall be completed within 2 (two) Months. If there are unreasonable delays or unauthorized suspension o9f work, Stephens County reserves the right to charge the design firm not a penalty, but liquidated damages, the cost to the County as may be determined by the Stephens County Board of Commissioners. The requirements of the O.C.G.A. Code Sections 50-24-1 through 50-24-6 relating to the Drug Free Workplace Act will apply to this project and must be complied with in all respects.

The proposals submitted should be clearly marked on envelope or package Stephens County, New Hope Fire House Renovation and submitted to Stephens County Clerk, 37 West Tugalo Street, Toccoa, Georgia 30577. The construction firm shall submit its statement of qualification and cost proposal to Stephens County no later than Thursday, March 25th, 2010 at 3:00 p.m. and submitted proposals will be opened in public April 1st at 3:00 p.m. Proposals shall be good for 90 days from date of opening.
